中國電源行業推薦產品證書和標誌使用協定書 篇1
甲方：_________
乙方：中國電子商會電源專業委員會行業推薦產品委員會
為保證行業推薦產品證書和標誌的正確使用，維護證書和標誌的權威性、信譽、企業的利益以及消費者的合法權益，依據《中國電源*業推薦產品證書和標誌使用管理辦法》（試行），甲乙雙方經協商，達成以下協定：
一、適用範圍
本協定適用於在協定有效期內獲得中國電源*業推薦產品證書的所有產品。
二、權利和義務
乙方：
1.及時向獲得證書的甲方頒發中國電源*業推薦產品證書，審批甲方標誌印製申請。
2.監督和指導甲方正確宣傳和使用證書和標誌。
3.在證書有效期內，對甲方每年至少進行一次年度監督檢查和證書有效性的確認，依據監督檢查和有效性確認結果對甲方證書的使用做出保持、更換、暫停、撤消或註銷的決定，並對撤消或註銷結果予以公布。特殊情況下（如產品出現嚴重質量問題、顧客投訴等），乙方有權增加監督檢查的頻次。
甲方：
1.使用證書和標誌的範圍：
a）可在獲證產品廣告和宣傳材料上使用證書和標誌，但不得將某一產品的證書作為整個甲方獲得產品證明，並加以宣傳，從而產生誤導作用；
b）可在獲證產品的外觀、產品銘牌、產品包裝、產品說明書、出廠合格證上使用標誌；
c）可在工程投標、產品銷售過程中，向顧客出示推薦產品證書；
d）不得在非獲得證書產品上使用推薦產品標誌。
2.獲得證書的產品須在產品適當的外觀或產品最小外包裝物上貼上一枚推薦產品標誌，以利於消費者識別以及監察部門及乙方推薦產品機構的市場監督。
3.推薦產品標誌由乙方統一規定樣式，甲方不得自行更改。其圖案、尺寸及顏色必須符合《中國電源*業推薦產品證書和標誌使用管理辦法》的規定。
4.甲方直接印刷於獲證產品的外包裝物、產品銘牌、產品說明書、出廠合格證上的推薦產品標誌，應註明證書編號。
5.自行印製的貼上在產品外觀或外包裝物上的推薦產品標誌和直接印刷於產品外包裝物、產品銘牌、產品說明書、出廠合格證等上的推薦產品標誌，甲方須事先向乙方提出申請，未經批准，甲方不得以任何形式自行印製。
6.甲方應建立推薦產品標誌使用制度，乙方要求時應書面報告推薦產品證書和標誌的使用情況，報告應包括獲證產品生產情況和標誌的實際使用情況等內容。
7.當推薦產品證書被暫停、撤消或註銷後，立即停止涉及認證內容的廣告宣傳，停止推薦產品標誌的使用。在推薦產品證書被撤消或註銷的情況下，還應按乙方要求交回有關檔案（包括推薦產品證書）。
8.自願接受乙方對推薦產品證書和推薦產品標誌使用情況進行的監督及管理，自願接受乙方的質量體系監督審核和產品監督檢驗。
9.應確保推薦產品證書有效期內，獲證型號產品始終符合認證要求。
三、費用
1.甲方應按規定向乙方交納年度監督評審費和年金（見推薦產品證書評審收費標準）。
中國電源*業推薦產品證書評審收費標準中國電子商會電源專業委員會行業推薦產品委員會不以贏利為目的，實行有償服務。參照執行國家“計價格[1999]1610號”檔案規定的收費標準，具體註冊收費項目和標準如下：
1）申請費：1500元；
2）評定與註冊（含證書費）：3000元；
3）年金（含標誌使用費）：5000元；
4）公告費500元。
（指定《中國電源博覽》和“中國電源*業資訊”向社會公示）
2.特殊情況下（如認證產品出現嚴重質量問題、顧客投訴等）進行的監督檢查（包括對甲方整改措施的複查等），其間發生費用由甲方支付。
四、罰則
凡甲方未按乙方規定正確使用推薦產品證書和推薦產品標誌時，乙方有權進行追究，視情節向甲方提出處罰並做出相應處理，必要時，可依據《中華人民共和國商標法》、《中華人民共和國商標法實施條例》和《中國電源*業推薦產品證書和標誌使用管理辦法》等有關法律、法規進行法律訴訟。
五、協定期限
本協定期限為：_________年_________月_________日至_________年_________月_________日（證書有效期）。
協定期滿，未經複評，協定有效期限內所獲得的認證證書均視為無效。甲方應及時申請複評，複評合格後，重新與乙方簽訂《中國電源*業推薦產品證書和標誌使用協定書》，即可恢復上一協定期內未滿期限證書的有效性。
協定自雙方簽字蓋章之日起生效，任何一方要求終止本協定應提前一個月向對方做出聲明並充分說明理由。
六、其它
本協定一式兩份，甲乙雙方各執一份，具有同等法律效力。

13.裝運條款：
□fob
賣方應在契約規定的裝運日期前30天，以電報/電傳/傳真通知買方契約號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船隻按期到達裝運港後，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物超過船舷並脫離吊鉤以前一切費用和風險由賣方負擔。
the sellers shall ， 30 days before the shipment date specified in the contract advise the buyers by cable / telex /fax of the contract no. ， commodity ， quantity ， amount ， packages ， gross weight ， measurement ， and the date of shipment in order that the buyers cater a vessel / book shipping space . in the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port ， all expenses including dead freight and / or demurrage ges thus incurred shall be for seller’s ac.

賣方須按時在裝運期限內將貨物由裝運港裝船到目的港。在cfr術語下，賣方應在裝船前2天電傳/傳真/電報買方契約號、品名、發票價值及開船日期，以便買方安排保險。
the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . under cfr terms ， the sellers shall advise the buyers by cable/fax/telex of the contract no. ， commodity ， invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

14.裝運通知
shipping advice :
一俟裝載完畢，賣方應在_________小時內電傳/傳真/電報買方契約編號、品名、已發運數量、發票總金額、毛重、船名/車/機號及啟程日期等。

15.質量保證：
quality guarantee :
貨物品質規格必須符合本契約及質量保證書之規定，品質保證期為貨到目的港_________個月內，在保證期限內，因製造廠商在設計製造過程中的缺陷造成的貨物損害應由賣方負責賠償。
the sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and letter of quality guarantee .the guarantee period shall be_________ months after the arrival of the goods at the port of destination ， and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗：賣方須在裝運前_________日委託_________檢驗機構對契約之貨物進行檢驗並出具檢驗證書，貨到目的港後，由買方委託_________檢驗機構進行復檢。

17.索賠
claims:
如經中國_________檢驗機構復檢，發現貨物有損壞、殘缺或品名、規格、數量及質量與本契約及質量保證書之規定不符，買方可於貨到目的港後_________天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。
the buyers shall lodge claims against the sellers based on the inspection certificate issued by china _________ inspection authority _________ days after the arrival of the goods at the destination ， if the goods are found to be damaged ， missing or the specifications ， quantity， and quality not in conformity with those specified in this contract and letter of quality guarantee . in case the claim period above specified is not in conformity with the quality guarantee period， during the quality guarantee period， the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲於契約規定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未採用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本契約全部或部分不能履約，賣方概不負責，但賣方應將上述發生的情況及時通知買方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式：
disputes settlement :
□任何因本契約而發生或與本契約有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。
all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21.法律適用
law application :
本契約之簽訂地、或發生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規定外，適用《聯合國國際貨物銷售公約》。

23.文字：本契約中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準。

第八條 甲方有權檢查、監督貸款的使用情況。乙方應按甲方要求向甲方報送貸款使用的有關資料。
第九條 甲方委託乙方發放貸款，應向乙方支付手續費，手續費的計算方法和計付方式如下：

第十條 本契約生效後，甲、乙任何一方不得擅自變更、解除契約。需變更或解除契約時，應經雙方協商一致，達成書面協定。
第十一條 違約責任
1.甲方未按本契約第三條的約定如期向乙方撥付資金，致使乙方未能按借貸契約的約定按時向借款人提供貸款，甲方應賠償乙方向借款人支付的違約金和賠償金。
2.乙方未按本契約第五條的約定如期將收回的貸款本息劃繳甲方，應根據未繳金額按延期天數每日向甲方支付萬分之______的違約金。
