甲乙雙方就乙方為甲方安裝建立一套實時開戶通信系統並為甲方提供日後的通信運行服務事項，達成契約條款如下：
The seller agrees to sell, and the buyer agrees to buy the Online Securities Account Opening System (OSAOS) according to the terms and conditions stipulated below:
一、 甲方義務 The buyer’s obligations
具備一條用於連線深圳市證券通*公司通信中心的電話線或DDN線路。並針對不同的線路，分別購買用於接入的設備：MODEM或路由器（CISCO 26系列）。The buyer needs to prepare a telephone or a DDN line for connecting the Communication Center of SSCC, and to buy the connecting equipment according to the line prepared: Modem or Router.
準備一台CPU主頻500MHZ以上、記憶體64M以上、硬碟500M以上並安裝中文NT作業系統的品牌PC機。The buyer needs to buy a computer with a minimum capacity of 500MHZ CPU, 64M MEM, 500M HD installed with Chinese NT operation system.
具備符合中*證券登記結算公司深圳分公司要求的軟體及硬體環境。The software and the hardware used by the buyer shall accord with the specifications prescribed by China Securities Depository and Clearing Corporation Limited (CSDCC).
為乙方的安裝調試工作提供必要的協助。The buyer shall offer necessary assistance to the On-site installation technicians sent by the seller.
正確使用和操作該通信系統。The buyer shall use the OSAOS in a proper and correct way.
按時支付契約規定的各項費用。The buyer shall pay the charges according to the contract without delay.
二、 乙方義務 The seller’s obligations
1、提供專用的實時開戶通信軟體一套，並負責提供用戶軟體的更新升級。 The seller needs to provide a set of OSAOS software, and to be responsible for the upgrading of this software.
2、按照甲方的要求，在收到工程安裝款後十天內負責安裝調試該通信系統或指導甲方自行安裝本系統。現場安裝人員的食宿費由乙方自理。The seller needs to be responsible for the On-site installation or to instruct the buyer to install the system according to the buyer’s request within 10 days after receiving the payment from the buyer.
3、提供與本通信系統相關的技術資料並指導用戶正確操作使用。The seller needs to provide the buyer the documents of the OSAOS, and to instruct the buyer to use the system properly.
4、負責為該通信系統的日常運行和維護提供技術諮詢服務。The seller needs to be responsible for supporting the buyer’s daily operation and technical enquiry about the system.
三、 契約款及付款方式 The charges of the contract and the method of the payments
（一）契約款The charges of the contract：
A工程安裝及設備款The charges of the installation and the software：
1、實時開戶通信軟體一套，價格為HK$10000元。The charge of the software of the OSAOS is Hk$10000.00.
2、安裝調試費用為HK$3000元。甲方如自行安裝，則乙方不收取此項費用，但乙方應
提供有效的安裝指南檔案並負責通過電話進行指導釋疑。請甲方在此確認：The charge of the On-site installation is HK$3000.00. In case the buyer chooses to install the system by himself, the seller will not charge on it.

B系統運行維護費The charge of Operation and Maintenance(O&M)：
每套系統每月的運行維護費為HK$500元（港幣伍佰元）。The charge of O&M is HK$500.00 per month.
（二）付款方式The method of the payment：
1、甲方應以電匯方式按本契約指定的帳戶向乙方支付契約有關款項。The buyer shall
pay for the charges according to the contract by means of T*T remittance.
2、工程安裝費、設備款及當年剩餘月份的運行維護費（按安裝系統的下一個月計至年底）應在契約簽定後一周內一次性支付。The buyer shall pay for the charge of installation, software and the charge of O&M for the rest months this year within one week after signed the contract.
3、甲方應在每年1月份內一次性交納本年度12個月的運行維護費（HK$6000元）。The buyer shall pay HK$6000 for a whole year’s charge of O&M in January every year.

四、 違約責任 Liability for breach of the contract
若甲方不按期足額支付工程款，乙方有權認為甲方放棄執行本契約，同意解除契約。In case the buyer does not pay the charges of the contract on time, the seller has the right to regard that the buyer terminates the contract.
若甲方不按期支付運行維護費，乙方有權自逾期付款之日起終止對甲方繼續提供相應通信服務內容。In case the buyer dose not pay the charge of O&M on time , the seller has the right to stop providing the services prescribed by the contract.
乙方承諾將實時開戶的有關數據、檔案無附加延遲地傳遞給甲方及中*證券登記結算公司深圳分公司。倘若遇到自然災害、戰爭、政府政策變動等不可抗力造成通信系統發生中斷，則乙方應在第一時間向甲方說明事故原因，並提供證據。對此不可抗力造成的小機率故障，乙方不承擔直接或間接賠償損失的責任。The seller consents to transfer the datum and the documents of the OSAOS without additional delay. If, due to a Force Majeure event (including nature disaster, war, the act of the government, etc) the seller fails to provide the normal service, the seller will not take the responsibility to compensate the buyer’s loss. But the seller shall report the situation to the buyer in time.
對於由於第三方原因造成通信系統發生中斷事故時，甲、乙雙方均有責任敦促第三方予以妥善解決，直至共同追訴第三方的法律責任。In case there occurs a communication accident caused by a third party, both the buyer and the seller have the responsibility to urge the third party to solve the problem suitably.
五、 爭議解決 Resolution of disputes
凡因本契約引起或與本契約有關的任何爭議，雙方應協商解決。協商未獲解決的，可將爭議提交中國國際經濟貿易仲裁委員會深圳分會，按照仲裁程式進行仲裁。仲裁裁決是終局的，對雙方均有約束力。In event any dispute arises in connecting with the contract, the parties shall attempt in the first instance to resolve such disputes through friendly consultations. If the disputes is not resolved in this manner, either party may submit the disputes to the branch of China International Economic and Trade Arbitration Commission in Shenzhen for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitration shall take place in Shenzhen, The arbitral award is final and binding upon both parties.
六、 其它 Others
本契約一式兩份，雙方各執一份。The contract has two originals, each party holds one.
本契約的中、英文發生歧義時，以中文為準。In case the understandings are different in this contract,it will subject to the understanding in Chinese finally.
契約自簽字之日起正式生效。This contract will become effective after both parties signed the contract.

委 托 方（簡稱甲方）：雲南省思茅供電局
受委託方（簡稱乙方）：思茅市*電有限責任公司
甲方位於思茅市南郊的110kV城南變電站於20__年4月8日建成投產。根據相關要求，該變電站投產後，甲方將在乙方供電營業區內的部分電力資產委託給乙方運行維護及使用。為明確出雙方的權利與義務關係，經雙方協商一致，簽訂本協定。
第一條甲方將110kV城南變電站的35kV城東線終端塔至4#塔的0.63km線路、10kV茶苑線（架空絕緣線路0.3km、10kV電纜分接箱3台、及聯絡4台電纜分接箱的10kV電力電纜1.37km）、10kV東郊線委託給乙方，進行運行維護及電能的輸送與銷售。
第二條委託期為五年，委託期滿雙方可繼續進行協商續簽。甲方從20__年4月8日起至20__年4月7日止，將委託資產交付乙方按規定的用途使用，乙方按本協定的內容進行運行維護。
第三條在協定有效期內，甲方不向乙方收取任何資產使用費，同時甲方不支付任何的運行維護及相關管理費用。
第四條委託期間，乙方按甲方提出的質量及技術原則和行業標準要求對委託的電力資產進行運行維護及故障處理、大修和相關的業擴報裝及大修等工作，所發生的費用由乙方自行負責。乙方要確保委託運行維護設備的安全運行，並承擔因運行維護不善而導致的一切安全責任。
甲方負責監管及資產技術更新改造，技術更新改造所發生的費用由甲方自行負責。當所委託的電力資產發生變更時（如接線方式、增容、減容等），乙方必須及時報甲方審批後方可實施工作。否則，乙方必須承擔由此引起的一切後果。
第五條免責條件。經有關部門鑑定，委託期間如因不可抗力原因造成委託財產的損壞或滅失，乙方不負責修復或賠償的責任，但應向甲方及時說明情況，必要應取得有關主管部門的證明。
第六條爭議解決方式。本協定履行中如發生爭議，雙方應協商解決；協商不成的，任何一方均可向仲裁委員會申請調解或仲裁，也可以向人民法院起訴。
第七條本協定在規定的委託期屆滿前十五日內，雙方如願意延長委託期限，應重新簽訂協定。
本協定未盡事宜，一律按國家的相關法律法規的規定，經契約雙方共同協商，作出補充規定，補充規定與本協定具有同等效力。
