直接付款：買方收到賣方根據第十條規定所發出的裝船單據後天內，將貨款電匯或信匯給賣方。（By Direct Remittance: Payment shall be effected by the Buyers ,by T/T or M/T, with in days after receipt from the Sellers of the shipping documents specified in Clause 10 hereof .）

鑒於：
1.乙丙雙方經友好協商，同意由乙方向丙方購買本協定及本協定所涉及契約項下的貨物;且________________
2.乙方委託甲方向丙方進口上述貨物，但出於某些技術上的原因，甲、乙雙方於_____年_____月_____日就該批貨物簽訂了_____號《普通買賣契約》(以下稱“銷售契約”)而非代理訂購契約;且

甲、乙、丙三方同意：
a.如乙方未按照銷售契約的規定將全部貨款(分批交貨、分批付款的，指每批貨物的全部貨款)付至甲方，甲方無義務按訂購契約的規定向丙方支付任何貨款，且免除任何有關延遲付款的違約責任，丙方無權依訂購契約向甲方追索(究)任何貨款(違約責任)。
b.甲方對有關貨物的質量不承擔任何責任。如乙方對貨物質量有任何異議，應自行與丙方協商處理，而無權依銷售契約向甲方追究任何違約責任;如需退換貨，乙方可委託甲方辦理，手續費另計。
c.丙方保證交付所給甲方的貨物在產地，規品、數量等方面與訂購契約的規定嚴格一致;如有不符，丙方應承擔所有法律責任並賠償甲方因此而遭受的海關處罰。
d.如銷售契約及訂購契約的規定與本協定不符，以本協定的規定為準。

風險提示： 要求商家在訂購契約上註明產品的品牌、型號、單價、數量，品牌型號必須是標準用名，不能產生歧義，前後名稱必須保持一致;
在標註產品的數量時，最好將產品的平米數和片數都標註清楚，方便驗貨時核對產品的數量。
另外，標的物必須是合法物品，違法則契約無效。

風險提示： 運輸方式一般由需方提出，也可協商約定運輸方式、運輸路線、運輸工具。
總的要求是運費低、運速快、貨物安全到達。
注意，要明確約定如果由於供方原因，選擇了不合理的運輸路線和工具，由此造成的損失，就承擔賠償責任。此外，運輸費用的負擔，應結合貨物價款考慮，要明確約定清楚，以避免爭議。
