甲方：
乙方：
根據《中華人民共和國勞動法》，甲乙雙方經平等協商同意，自願簽訂本契約，共同遵守本契約所列條款。
一、勞動契約期限
第一條本契約期限類型為_____期限契約。
本契約生效日期_______年_______月_______日，其中試用期___個月。
二、工作內容
第二條乙方同意根據甲方工作需要，擔任崗位(工種)___工作。
第三條乙方應按照甲方的合法要求，按時完成規定的工作數量，達到規定的質量標準。
三、勞動保護和勞動條件
第四條甲方安排乙方執行___工作制。
1、執行定時工作制的，甲方安排乙方每日工作時間不超過八小時，平均每周不超過四十四小時。甲方保證乙方每周至少休息一日，甲方由於工作需要，經與工會和己方協商後可以延長工作時間，一般每日不得超過一小時，因特殊原因需要延長工作時間的，在保障乙方身體健康的條件下延長工作時間每日不得超過三小時，每月不得超過三十六小時。
2、執行綜合計算工時工作制的，平均日和平均周工作時間不超過法定標準工作時間。
3、執行不定時工作制的，在保證完成甲方工作任務的情況下，工作和休息休假乙方自行安排。
第五條甲方安排乙方加班的，應安排乙方同等時間補休或依法支付加班工資;加點的，甲方應支付加點工資。
第六條甲方為乙方提供必要的勞動條件和勞動工具，建立建全生產工藝流程，制定操作規程、工作規範和勞動安全衛生制度及其標準。
甲方應按照國家或北京市有關規定組織安排乙方進行健康檢查。
第七條甲方負責對乙方進行政治思想、職業道德、業務技術、勞動安全衛生及有關規章制度的教育和培訓。
四、勞動報酬
第八條甲方的工資應遵循按勞分配原則。
第九條執行定時工作制或綜合計算工時工作的的乙方為甲方工作，甲方每月___日以貨幣形式支付乙方工資，工資不低於___元，其中試用期間工資為___元。
執行不定時工作制的工資支付按___執行。
第十條由於甲方生產任務不足，使乙方下崗待工的，甲方保證乙方的月生活費不低於___元。
五、保險福利待遇
第十一條甲乙雙方應按國家和北京市社會保險的有關規定繳納職工養老、失業和大病醫療統籌及其他社會保險費用。
甲方應為乙方填寫《職工養老保險手冊》。雙方解除、終止勞動契約後，《職工養老保險手冊》按有關規定轉移。
第十二條乙方患病或非因工負傷，其病假工資、疾病救濟費和醫療待遇按照___執行。
第十三條乙方患職業病或因工負傷的工資和醫療保險待遇按國家和北京市有關規定執行。
第十四條甲方為乙方提供以下福利待遇___。
六、勞動紀律
第十五條乙方應遵守甲方依法制定的規章制度：嚴格遵守勞動安全衛生、生產工藝、操作規程和工作規範;愛護甲方的財產，遵守職業道德;積極參加甲方組織的培訓，提高思想覺悟和職業技能。
第十六條乙方違反勞動紀律，甲方可依據本單位規章制度，給予紀律處分，直至解除本契約。
七、勞動契約的變更、解除、終止、續訂
第十七條訂立本契約所依據的法律、行政法規、規章發生變化，本契約應變更相關內容。
第十八條訂立本契約所依據的客觀情況發生重大變化，致使本契約無法履行的，經甲乙雙方協商同意，可以變更本契約相關內容。
第十九條經甲乙雙方協商一致，本契約可以解除。
第二十條乙方有下列情形之一，甲方可以解除本契約：
1.在試用期間，被證明不符合錄用條件的;
2.嚴重違反勞動紀律或甲方規章制度的;
3.嚴重失職、營私舞弊，對甲方利益造成重大損害的;
4.被依法追究刑事責任的。
第二十一條下列情形之一，甲方可以解除本契約，但應提前三十日以書面形式通知乙方：
1.乙方患病或非因工負傷，醫療期滿後，不能從事原工作也不能從事由甲方另行安排的工作的;
2.乙方不能勝任工作，經過培訓或者調整工作崗位，仍不能勝任工作的;
3.雙方不能依據本契約第十八條規定就變更契約達成協定的。
第二十二條甲方瀕臨破產進行法定整頓期間或者生產經營發生嚴重困難，經向工會或者全體職工說明情況，聽取工會或者職工的意見，並向勞動行政部門報告後，可以解除本契約。
第二十三條乙方有下列情形之一，甲方不得依據本契約第二十一條、第二十二條終止、解除本契約：
1.患病或非因工負傷、在規定的醫療期內的;
2.女職工在孕期、產期、哺乳期內的;
3.義務兵復員退伍和建設征地農轉工人員初次參加工作未滿三年的;
4.義務服兵役期間的。
第二十四條乙方患職業病或因工負傷，醫療終結，經市、區、縣勞動鑑定委員會確認完全或部分喪失勞動能力的，按___辦理，不得依據本契約第二十一條、第二十二條解除勞動契約。
第二十五條乙方解除本契約，應當提前三十日以書面形式通知甲方。
第二十六條有下列情形之一，乙方可以隨時通知甲方解除本契約：
1.在試用期內的;
2.甲方以暴力、威脅或者非法限制人身自由的手段強迫勞動的;
3.甲方不能按照本契約規定支付勞動報酬或者提供勞動條件的。
第二十七條本契約期限屆滿，甲乙雙方經協商同意，可以續訂勞動契約。
第二十八條訂立無固定期限勞動契約的，乙方離休、退休、退職及死亡或本契約約定的解除條件出現，本契約終止。
八、經濟補償與賠償
第二十九條下列情形之一，甲方違反和解除乙方勞動契約的，應按下列標準支付乙方經濟補償金：
1.甲方剋扣或者無故拖欠乙方工資的，以及拒不支付乙方延長工作時間工資報酬的，除在規定的時間內全額支付乙方工資報酬外，還需加發相當於工資報酬百分之二十五的經濟補償金;
2.甲方支付乙方的工資報酬低於本市最低工資標準的，要在補足低於標準部分的同時，另外支付相當於低於部分百分之二十五的經濟補償金。
第三十條下列情形之一，甲方應根據乙方在甲方工作年限，每滿一年發給相當於乙方解除本契約前十二個月平均工資一個月的經濟補償金，最多不超過十二個月：
1.經與乙方協商一致，甲方解除本契約的;
2.乙方不能勝任工作，經過培訓或者調整工作崗位，仍不能勝任工作，由甲方解除本契約的。
第三十一條下列情形之一，甲方應根據乙方在甲方工作年限，每滿一年發給相當於本單位上年月平均工資一個月的經濟補償金：
1.乙方患病或者非因工負傷，經勞動鑑定委員會確認不能從事原工作，也不能從事由甲方另行安排的工作而解除本契約的;
2.勞動契約訂立時所依據的客觀情況發生重大變化，致使本契約無法履行，經當事人協商不能就變更勞動契約達成協定，由甲方解除勞動契約的;
3.甲方瀕臨破產進行法定整頓期間或者生產經營狀況發生嚴重困難，必須裁減人員的。
以上三種情況，如果乙方被解除本契約前十二個月的月平均工資高於本單位上年月平均工資的，按本人月平均工資計發。
第三十二條甲方解除本契約後，未按規定給予己方經濟補償的，除全額發給經濟補償金外，還須按該經濟補償金數額的百分之五十支付額外經濟補償金。
第三十三條支付乙方經濟補償時，乙方在甲方工作時間不滿一年的按一年的標準發給經濟補償金。
第三十四條乙方患病或者非因工負傷，經勞動鑑定委員會確認不能從事原工作，也不能從事由甲方另行安排的工作而解除本契約的，甲方還應發給乙方不低於企業上年月人均工資六個月的醫療補助費，患重病和絕症的還應增加醫療補助費，患重病的增加部分不低於醫療補助費的百分之五十，患絕症的增加部分不低於醫療補助費的百分之一百。
第三十五條甲方違反本契約約定的條件解除勞動契約或由於甲方原因訂立的無效勞動契約，給乙方造成損害的，應按損失程度承擔賠償責任。
第三十六條乙方違反本契約約定的條件解除勞動契約或違反本契約約定的保守商業秘密事項，對甲方造成經濟損失的，應按損失的程度依法承擔賠償責任。
第三十七條乙方解除本契約的，凡由甲方出資培訓和招接收的人員，應向甲方償付培訓費和招接收費。其標準為：___。
九、勞動爭議處理
第三十八條因履行本契約發生的勞動爭議，當事人可以向本單位勞動爭議調解委員會申請調解;調解不成，當事人一方要求仲裁的，應當自勞動爭議發生之日起六十日內向___勞動爭議仲裁委員會申請仲裁。當事人一方也可以直接向勞動爭議仲裁委員會申請仲裁。對裁決不服的，可以向人民法院提起訴訟。
十、其他
第三十九條甲方以下規章制度___作為本契約的補充條款。
第四十條本契約未盡事宜或與今後國家、北京市有關規定相悖的，按有關規定執行。
第四十一條本契約一式兩份，甲乙雙方各執一份。

4.信用證內容須嚴格符合本售貨契約的規定，否則修改信用證的費用由買方負擔，賣方並不負因修改信用證而延誤裝運的責任，並保留因此而發生的一切損失的索賠權。
4.the contents of the covering letter of credit shall be in strict conformity with the stipulations of the sales contract. in case of any variation there of necessitating amendment of the l/c， the buyers shall bear the expenses for effecting the amendment. the sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the l/c and reserve the right to claim from the buyers for the losses resulting therefrom.
5.除經約定保險歸買方投保者外，由賣方向中國的保險公司投保。如買方需增加保險額及/或需加保其他險，可於裝船前提出，經賣方同意後代為投保，其費用由買方負擔。
5.except in cases where the insurance is covered by the buyers as arranged， insurance is to be covered by the sellers with a chinese insurance company. if insurance for additional amount and /or for other insurance terms is required by the buyers， prior notice to this effect must reach the sellers before shipment and is subject to the sellers’ agreement， and the extra insurance premium shall be for the buyers’ account.
6.因人力不可抗拒事故使賣方不能在本售貨契約規定期限內交貨或不能交貨，賣方不負責任，但是賣方必須立即以電報通知買方。如果買方提出要求，賣方應以掛號函向買方提供由中國國際貿易促進委員會或有關機構出具的證明，證明事故的存在。買方不能領到進口許可證，不能被認為系屬人力不可抗拒範圍。
6.the sellers shall not be held responsible if they fail， owing to force majeure cause or causes， to make delivery within the time stipulated in this sales contract or cannot deliver the goods. however， the sellers shall inform immediately the buyers by cable. the sellers shall deliver to the buyers by registered letter， if it is requested by the buyers， a certificate issued by the china council for the promotion of international trade or by any competent authorities， attesting the existence of the said cause or causes. the buyers’ failure to obtain the relative import licence is not to be treated as force majeure.
7.仲裁：凡因執行本契約或有關本契約所發生的一切爭執，雙方應以友好方式協商解決；如果協商不能解決，應提交中國國際經濟貿易仲裁委員會，根據該會的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。
7.arbitration：all disputes arising in connection with this sales contract or the execution thereof shall be settled by way of amicable negotiation. in case no settlement can be reached， the case at issue shall then be submitted for arbitration to the china international economic and trade arbitration commission in accordance with the provisions of the said commission. the award by the said commission shall be deemed as final and binding upon both parties.
