inspection and claims:
①賣方在發貨前由＿＿＿＿＿＿＿檢驗機構對貨物的品質、規格和數量進行檢驗，並出具檢驗證明書。
the buyers shall bave the qulities, specifications, quatities of ths goods carefully inspected by the ＿＿＿＿＿＿ inspection authority, which shall issue inspection certificate before shipment.
②貨物到達目的口岸後，買方可委託當地的商品檢驗機構對貨物進行復檢。如果發現貨物有損壞、殘缺或規格、數量與契約規定不符，買方須於貨到目的口岸的＿＿＿＿＿＿天內憑＿＿＿＿＿＿檢驗機構出具的檢驗證明書向賣方索賠。
the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of
destination. if the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, thebuyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within ＿＿＿ days after the goods arrivalat the destination.
③如買方提出索賠，凡屬品質異議須於貨到目的口岸之日起＿＿＿＿＿天內提出；凡屬數量異議須於貨到目的口岸之日起＿＿＿＿＿＿天內提出。對所裝貨物所提任何異議應由保險公司、運輸公司或郵遞機構負責的，賣方不負任何責任。
the claims, if any regarding to the quality of the goods, shall be lodged within ＿＿＿ days after arrival of the goods at the destination,
if any regarding to the quantities of the goods, shallbe lodged within
＿＿＿ days after arrival of the goods at the destination. the sellers shall not take any responsibility if anyclaims concerning the shipping goods isup to the responsibility of insurance company/transportation company/post office.
１３．人力不可抗拒：如果人力不可抗拒的原因造成本契約全部或部分不能履約，賣方概不負責，但賣方應將上述發生的情況及時通知買方。
force majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contractdue to force majeure. but
the sellers shall advise the buyers on time of such occurrence.
１４．爭議之解決方式：
disputes settlement:
任何因本契約而發生或與本契約有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。
all disputes arising out of the contractor concerning the contract,
shall be submitted to the china international economic and trade arbitration commission for arbitrationin accordance with its rules of arbitrationin china. the arbitration shall take placein china. the arbitral awardis finaland binding upon both parties.
