11.由於發生人力不可抗拒的原因，致使本契約不能履行，部分或全部商品延誤交貨，賣方概不負責。
本契約所指的不可抗力系指不可干預、不能避免且不能克服的客觀情況。

12.仲裁（arbitration）：
因凡本契約引起的或與本契約有關的任何爭議，如果協商不能解決，應提交中國國際經濟貿易仲裁委員會深圳分會。按照申請仲裁時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

13.通知（notices）：
