Chapter 3 Establishment of the Cooperative Venture Company
Article 2
In accordance with the Cooperative Venture Law and other relevant Chinese laws and regulations, both parties of the Cooperative venture agree to set up ___________Cooperative venture limited liability company (hereinafter referred to as the Cooperative venture company).

Article 4

Chapter 4 The Purpose, Scope and Scale of Production and Business

The goals of the parties to the Cooperative venture are to enhance economic cooperation technical exchanges, to improve the product quality, develop new products, and gain a competitive position in the world market in quality and price by adopting advanced and appropriate technology and scientific management methods, so as to raise economic results and ensure satisfactory economic benefits for each Cooperator.

Article 7

Chapter 5 Total Amount of Investment and the Registered Capital

第二章合作各方
第一條本契約的各方為：

第三章成立合作經營公司

第五條合作公司是由甲方提供土地使用權、資源開發權、建築物等合作條件；乙方提供資金、設備、技術等合作條件。各方不折算投資比例，按各自向公司提供的合作條件，確定利潤分享辦法，並各自承擔風險。合作公司實行統一管理，獨立經營，統一核算。合作期限屆滿，公司的
財產不作價歸甲方所有。

第四章生產經營目的、範圍和規模
第六條甲、乙方合作經營的目的是：本著加強經濟合作和技術交流的願望，採用先進而適用的技術和科學的經營管理方法，提高產品質量，發展新產品，並在質量、價格等方面具有國際市場的競爭能力，提高經濟效益，使合作各方獲得滿意的經濟利益。（註：在具體契約中要根據具

第七條合作公司生產經營範圍是：生產和銷售＿＿＿＿＿＿＿產品；對銷售後的產品進行維修服務；研究和發展新產品。（註：要根據具體情況寫）
第八條生產經營規模如下：

乙方提供的現金投資分兩期匯入合作公司在銀行開立的帳戶內。第一期應匯入＿＿＿＿＿＿＿元，須在契約批准之日起＿＿＿＿＿＿＿＿天內匯出，作為首期生產、生活設施的建築費和流動資金等；第二期必須匯足投資總額減去第一期匯出後的差額，匯出的時間為＿＿＿＿＿＿＿，用

assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;
