經雙方友好協商，甲方願意委任作為在銷售其產品的獨家經銷商。為了明確雙方的權利和義務，特訂立本協定。

第一條、雙方關係：
在本協定的有效期內，甲方和**公司的關係純屬賣方和買方的關係。
本協定不產生代理權，任何一方不能向第三者代表另一方，若由此而致使另一方受損，則越權的一方須承擔賠償責任和法律責任。
第二條、產品。
本協定所稱的產品，系指甲方所製造的產品。
第三條、經銷權
甲方給予**公司在的範圍內以獨家進口並銷售其產品的權利。
第四條、專營權
除**公司外，甲方不得再委任範圍內的其它公司為其經銷商和代理商。
第五條、價格
甲方必須向乙方提供最優惠的價格。最優惠的價格即必須低於正常貿易的價格。
第六條、交易方式
發生在雙方間的每一筆交易都必須訂立契約，雙方均須受到每一個契約的約束。
第七條、賣方責任
1.自費向乙方提供新產品的樣品，每個樣品為1-2個。
2.同意乙方在進行業務推廣時向客戶介紹甲方的網站，並表明其獨家經銷的身份。
3.在協定的有效期限內：甲方如獲得專利產品的註冊、或商標、或其他商業標誌，均須立即向乙方提供。
4.甲方必須將希望與其建立商業關係的境內新客戶轉給乙方。
5.不斷提供有助於推銷產品的意見和資料。
第八條、經銷商責任
1.自費維持一個有經營能力的機構，切實地為甲方推銷產品。
2.自費參加一些交易會或製作為了推銷甲方產品的網站、目錄等廣告物。
3.在本協定的有效時限內，第一年的每個月的交易額必須達到萬美元，以後每年遞增20％
4.向甲方提供一個由甲方認可的銀行為結算銀行。
5.不得購買和銷售其他公司的同類產品
6.不斷地向甲方提供國內相關的商業情報
第九條、有效時限
本協定自_____生效，有效期為___年。
期滿前三個月內，雙方如未能在續簽本協定上達成一致，則本協定在期滿時自動失效，雙方再不受其約束。
第十條、違約
本協定的任何一方發生了違約行為，另一方得以書面的形式通知其糾正。如若違約一方在三個月內仍未糾正其違約行為，則另一方有權中 止本協定。
第十一條、一般條款
1.不可抗力：
本協定的任何一方如遭遇到所力不能及的事由，以致全部或部份無法履行本協定，則可在下列範圍內免除其責任。如：火災、水災、海嘯、地震、雷擊、颱風、鏇風、疫病、爆炸、機械事故、戰爭、暴亂、制裁、勞工糾紛或政府的政策性行為，或其它的確實非人力所能抗拒的原因。
但一方必須將得到政府或有關機構證明的不可抗力原因的書面通知，以最快的速度送達另一方並直到另一方確認收到該通知時為止。
2.轉讓：
本協定在任何一方在未徵得另一方以書面的方式明確表示同意之前，任何涉及本協定所規定的權利和義務的轉讓均屬無效。
3.商業機密
本協定的任何一方均不得在有效期內及期滿的一年內向第三者泄漏雙方之間的商業秘密，若由此而造成另一方的利益損失，則另一方有追索泄漏商業秘密一方的經濟責任的權利。
4.仲裁
凡因本協定或其相關的事情而導致爭執時，雙方應當友好協商解決，解決不成，應提請中國貿易促進委員會進行仲裁，該仲裁是終局的，雙方由於進行仲裁而發生的合理費用均由敗訴方負擔。
5.協定文本
本協定以英文和中文兩種文字書就，如若兩種文字在字義上產生牴觸時，必須按照兩種文字的意義做出折中判斷。
本協定一式份，雙方各執一份。
本協定經雙方簽字後將於所約定的時間生效。

1.forcemajeureclause
ifeitherpartyatthisagreementexperiencesanincidentoutofstrengthsoastobedisabletoperformthisagreementinwholeorinanypartofobligationun derthisagreement,canreleaseitsresponsibilityinthefollowingrange.suchasfire,floods,tsunami,earthquake,strikingbylightning,typhoon,whirlwind,epidemicdisease,exploding,mechanicalaccident,war,rebellion,punishing,laborer’sdisputeorpolicyactionofgovernmentorotherreasonthatreallytheimpersonalforcecanberesisted.

2.transfer
onthisagreement,beforeanotherpartyagreesclearlyinanwrittenway,anytransferofeitherpartywhichinvolvesrightandobligationofthisagreementstipulatesisinvalid.
3.businesssecret
intheperiodofvalidityandoneyearafterexpired,eitherpartyofthisagreementshouldn’tletoutthebusinesssecretbetweenbothpartiestotheotherperson，ifleadtothefacttherefromthattheinterestsofanotherpartyarelost,anotherpartyhasrightofdemandingtheeconomicresponsibilityofthepartywhichletsoutbusinesssecret.
4.arbitration
whileresultingindisagreeingbecauseofthisagreementoritsrelevantthing,thetwopartiesshouldconsultandsolveinafriendlyway,ifcan’tsolve,shouldsubmittochinacouncilforthepromotionofinternationaltrade(ccpit)forarbitrating,thearbitrationistheend,therationalexpensesthathappenedbetweenbothpartiesbecauseofcarryingonarbitrationarebornbypartylosingthelawsuit.
