第二條 建立合營企業
article 2 formation of joint venture
1.甲方和乙方按照中華人民共和國的法律建立合營企業。
2.合營企業稱為________，地址為________。
3.合營企業的一切活動，必須遵守中華人民共和國的法律.法令和有關條例規定。
4.合營企業的組織形式為有限責任公司。甲乙雙方以各自認繳的出資額對合營公司的債務承擔責任。各方按其出資額在註冊資本中的比例分享利潤和分擔風險及虧損。
